Deliverables

The services and product, as mutually agreed upon by Client and Service Provider, to be delivered by Service Provider to Client, as specified in this Agreement and corresponding invoices.

Final Work

All materials and end results developed or created by the Service Provider, or commissioned by the Service Provider, exclusively for the Client and incorporated into and delivered as part of the Final Deliverables; Modifications to the Client’s data arrangement and coordination of such elements together with the Client and/or Third Parties as approved and accepted by the Client.

Final Deliverables The final versions of Deliverables provided by the Service Provider, approved and accepted by the Client.

Third-Party Materials

Proprietary third-party materials that are incorporated into Final Deliverables, including, but not limited to, stock designs or CMS.

All Third-Party Materials are the exclusive property of their respective owners. Roshi shall inform the client of all Third-party materials that may be required to perform the marketing services or otherwise integrated into the final work. Under such circumstances, Roshi shall inform the Client of any need for a license.

Upon completion of the Services and conditioned upon full payment of all fees, costs and out-of-pocket expenses due, Roshi shall assign to the Client all ownership rights, including any copyrights, in and to any artworks or designs comprising the works created by Roshi as part of the Final Work and Final Deliverables.

Trademarks

Ownership of trademarks, names, words, symbols, designs, logos or other designs are used solely to designate the origin or source of the same.

Refund Policy

By completing payment for the invoiced services, the Customer acknowledges and agrees to the following terms.

Finality of Payments

All payments made for services rendered are considered final and non-refundable. By completing payments for all services offered by Roshi, the Customer acknowledges that they have read and understood the terms and conditions of Roshi’s refund policy and voluntarily agrees to be bound by them.

Refund Claims

By using Roshi’s services all Customers understands and formally agree that no refund claims will be considered once payment for the services has been completed.

Exemptions

This refund policy applies to all services rendered by Roshi and supersedes any other refund policies or consumer rights regulations.

Customer Consent

By using the services provided by Roshi, all customers acknowledge and agree to the following:

Understanding of Preliminary Works: They understand that all preliminary materials (concepts, sketches, etc.) remain the property of Roshi unless they are specifically included in the Final Deliverables.

Responsibility for Client Data: They will provide any necessary data in a timely manner and in a format suitable for use in the project.

Third-Party Materials: They understand that third-party materials (stock designs, CMS, etc.) may be incorporated into the Final Deliverables and are subject to their own licensing requirements. Roshi will inform you of such materials.

Ownership Transfer: Only upon project completion and full payment, Roshi will transfer ownership of all artworks and designs within the Final Deliverables.

Refund Policy: They understand that all payments for services are subject to Roshi’s refund policy.
